Terms of Service

1.1. These Terms of Service ("Terms") govern your access to and use of AgentPrepare, the website AI readiness audit service operated by AgentPrime Ltd ("Service").

1.2. By accessing or using the Service, including running a free audit without an account, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and references to "you" mean that organisation.

1.3. We may update these Terms from time to time. If we make material changes, we will notify account holders by email or by a notice in the Service. Continued use after the effective date constitutes acceptance.

2.1. AgentPrepare audits publicly available websites and produces AI readiness reports, scores, and analysis.

2.2. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription (or for the duration of a free audit), solely for your internal business purposes in accordance with these Terms.

2.3. You may not: (a) sublicense, resell, or make the Service available to third parties except as explicitly permitted; (b) reverse engineer, decompile, or attempt to extract the source code of the Service; (c) use the Service to build a competing product or service; (d) remove or obscure proprietary notices; (e) attempt to circumvent usage limits, including the free-tier rate limits.

3.1. Authorisation to scan. You represent and warrant that you have authority to instruct AgentPrime to audit each website URL you submit, whether because: (a) you own or operate that website; (b) you have the express authorisation of the website owner to conduct technical audits on their behalf; or (c) you are otherwise entitled to instruct automated access to that website. You acknowledge that AgentPrime relies on this representation and will not independently verify your authority. You agree to indemnify AgentPrime against any claim, loss, or liability arising from a breach of this representation.

3.2. Decisions remain with you.AgentPrime provides audit scores, signals, and analysis as information only. AgentPrime does not make decisions about any individual, business, or website. Its outputs do not constitute a decision, a recommendation to act, or an endorsement of any course of action. You are solely responsible for any decision you or your clients make based on AgentPrime's outputs. Where any output relates to a living individual or an identifiable business, you agree to exercise independent judgement before acting on it. AgentPrime's outputs are not intended to have, and you agree they will not be treated as having, any legal or similarly significant effect on any data subject.

3.3. You are responsible for: (a) maintaining the security of your account credentials; (b) all activity under your account; (c) ensuring your use of the Service complies with applicable law, including data protection law.

3.4. Free audits. Free audits are rate-limited per connection. The email address you provide is used to deliver your result and, together with the audit reference, to retrieve it later. Free audits are subject to these Terms in full, including clauses 3.1 and 3.2.

4.1. AgentPrepare's reports may include narrative analysis generated with the assistance of large language model (LLM) technology. LLM-generated content is produced by a probabilistic system and may contain errors, omissions, or inaccuracies.

4.2. AgentPrime makes no representation or warranty, express or implied, as to the accuracy, completeness, or fitness for purpose of any LLM-generated content. You agree that LLM-generated content is provided for informational purposes only and that you will independently verify any specific finding before relying on it for any business, operational, or client-facing purpose.

5.1. Paid tiers, credit packs, and their prices are as published in the Service at the time of purchase. Payment is processed by Stripe. To be completed: this section will be confirmed against the published pricing page wording at launch

5.2. Subscription fees are payable in advance. Usage allowances reset per your billing configuration as described in the Service.

5.3. To be completed: refund and cancellation position to be confirmed before launch

6.1. AgentPrime retains all intellectual property rights in the Service, the scoring methodology, the fault library, and all software and content comprising AgentPrepare.

6.2. You retain ownership of data you submit to the Service. You grant AgentPrime a limited licence to process it solely to provide the Service.

6.3. Audit reports generated for your account are provided for use in your business. You may share them with your clients.

7.1. Each party will keep confidential the other's non-public information disclosed in connection with these Terms and use it only as necessary to perform under them.

7.2. The scoring methodology, fault library, and weightings within AgentPrepare are AgentPrime's confidential information. You may share the existence and results of an audit with your clients, but you agree not to reproduce or publish the detailed scoring methodology without AgentPrime's prior written consent.

8.1. Each party shall comply with applicable data protection law in relation to personal data it processes in connection with the Service.

8.2. How AgentPrime handles personal data is described in the Privacy Policy and, for personal data encountered on audited websites, the Website Data Notice.

8.3. Where AgentPrime processes personal data on your behalf (for example, personal data present on websites you submit for auditing), you are the data controller and AgentPrime acts as processor, and the Data Processing Schedule at Schedule 1 governs that processing.

9.1. AgentPrime warrants that: (a) it has authority to enter into these Terms; (b) it will provide the Service with reasonable care and skill.

9.2. Except as stated in clause 9.1, the Service is provided "as is". AgentPrime makes no representation or warranty as to: (a) the accuracy or completeness of audit results; (b) fitness for any particular purpose; (c) uninterrupted or error-free operation.

10.1. AgentPrime's total aggregate liability to you in connection with these Terms, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (a) the total fees paid by you to AgentPrime in the twelve months immediately preceding the event giving rise to the claim; or (b) £500.

10.2. AgentPrime shall not be liable for any indirect, special, incidental, punitive, or consequential loss or damage, including loss of profit, revenue, business, reputation, or data, whether or not advised of the possibility of such losses.

10.3. Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by law.

11.1. These Terms apply from the date you accept them (or first use the Service) until terminated.

11.2. Either party may terminate on 30 days' written notice.

11.3. Either party may terminate immediately on written notice if the other: (a) materially breaches these Terms and fails to remedy within 14 days of notice; (b) becomes insolvent or enters administration.

11.4. On termination: (a) your access ceases; (b) you remain responsible for fees accrued; (c) clauses 6, 7, 9, 10, and 12 survive.

12.1. Governing law. These Terms are governed by the laws of England and Wales; the parties submit to the exclusive jurisdiction of its courts.

12.2. Entire agreement. These Terms are the entire agreement between the parties regarding the Service and supersede prior representations and understandings.

12.3. Severance. If any provision is unenforceable, the remainder continues in force.

12.4. Waiver. Failure to enforce a provision is not a waiver of it.

12.5. Assignment.You may not assign these Terms without AgentPrime's prior written consent. AgentPrime may assign them to a successor entity on notice.

This Schedule applies where AgentPrime processes personal data as processor on your behalf.

AgentPrime shall: (a) process such data only on your documented instructions; (b) implement appropriate technical and organisational security measures; (c) not engage sub-processors without your general authorisation (granted by these Terms for the sub-processors listed in the Privacy Policy) or specific authorisation for new sub-processors; (d) assist you in responding to data subject rights requests; (e) on termination, delete or return such personal data as you instruct.
